Acceptance of Terms

By registering for and/or using the Services in any manner, you agree to these Terms and all other operating rules, policies, and procedures that may be published by Verteco.pro.

Description of Services

Verteco.pro provides a platform that enables users to manage their Google Merchant Center accounts, synchronize product data, monitor and fix product errors, and track performance across Google Shopping and Google Ads.

Account Registration and Requirements

To access the Services, you must register for a Verteco.pro account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account and for all activities that occur under your account. You agree to notify Verteco.pro immediately of any unauthorized use of your account.

Access to Google Accounts

Our Services require you to provide access to your Google Merchant Center and/or Google Ads accounts. You represent and warrant that you have all necessary rights and authorizations to provide such access and that doing so does not violate any applicable laws or agreements you have with Google.

Subscription and Payment

Access to certain features of the Services requires payment of fees. You agree to pay all fees specified when you selected your subscription plan. All fees are exclusive of all taxes, which are your responsibility.

Unless otherwise specified, fees are billed in advance on a monthly or annual basis and are non-refundable. Verteco.pro reserves the right to change the fees upon reasonable notice.

Intellectual Property Rights

The Services and their entire contents, features, and functionality are owned by Verteco.pro, its licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited license to access and use the Services for your legitimate business purposes.

User Content

You retain ownership of any content you submit, post, display, or otherwise make available on the Services ('User Content'). By making User Content available, you grant to Verteco.pro a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, copy, modify, and display the User Content in connection with operating and providing the Services.

Prohibited Activities

You agree not to:

  • Use the Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Services.
  • Use the Services in any manner that could damage, disable, overburden, or impair the functioning of the Services.
  • Attempt to circumvent any filtering, security measures, or access controls implemented on the Services.
  • Use the Services to distribute unsolicited promotional or commercial content or other unwanted or mass communications.
  • Use automation technologies to scrape or collect information from the Services.

Termination

Verteco.pro may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERTECO.PRO BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

Changes to Terms

Verteco.pro reserves the right to modify these Terms at any time. We will provide notice of significant changes to these Terms by posting the amended terms on our website. Your continued use of the Services after such changes shall constitute your consent to such changes.
